1. Acceptance of Terms

These Terms of Use (“Terms”) constitute a legally binding agreement between you and Slashbox LLC (“PhotoWall, ” “we,” “us,” or “our”) governing your access to and use of the PhotoWall website at https://www.photowall.tv and all related services (the “Service”).

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

You must be at least 18 years of age to use the Service. By using the Service, you represent and warrant that you are at least 18 years old.

2. Description of Service

PhotoWall is a real-time photo and video sharing platform that allows users to create interactive media walls for events. Wall Creators can set up a PhotoWall, and Guests can upload photos and videos to be displayed in real time.

The Service operates on a freemium model. You may create a PhotoWall at no cost with basic functionality. Additional features and upgrades are available through paid plans. Details of available plans and pricing are provided on the Service.

3. Accounts and Registration

To create a PhotoWall, you must provide a valid email address. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

You agree to provide accurate, current, and complete information during registration and to update such information as necessary to keep it accurate and complete.

You must notify us immediately at [email protected] if you become aware of any unauthorized use of your account.

4. User Content and Ownership

The Service allows Wall Creators and Guests to upload photos, videos, and other media (“User Content”). You retain full ownership of all User Content you upload to the Service. PhotoWall does not claim any ownership rights over your User Content.

By uploading User Content, you grant PhotoWall a limited, non-exclusive license to store, display, and process your content solely as necessary to operate and provide the Service. This license terminates when your content is deleted from the Service.

You represent and warrant that you own or have the necessary rights, licenses, and permissions to upload all User Content, and that your User Content does not infringe the intellectual property rights or other rights of any third party.

You are solely responsible for the User Content you upload, and PhotoWall is not liable for any claims arising from your User Content.

5. Automated Content Moderation

PhotoWall offers an optional content moderation feature. When a Wall Creator enables this feature, uploaded media may be transmitted to a third-party artificial intelligence service for automated analysis to detect inappropriate or explicit content, such as nudity or violence.

By enabling content moderation, Wall Creators consent to their wall’s uploaded media being processed by this third-party service. The third-party service analyzes media for classification purposes only and does not retain content after analysis is complete.

6. Prohibited Content and Conduct

You agree not to upload, share, or transmit any content that:

  • Contains violence, threats, or promotes harassment or intimidation
  • Constitutes or promotes illegal activity
  • Infringes any copyright, trademark, patent, trade secret, or other intellectual property right of any third party
  • Contains hate speech or promotes discrimination based on race, ethnicity, gender, religion, sexual orientation, disability, or any other protected characteristic
  • Contains spam, malware, phishing attempts, or other harmful or deceptive material
  • Violates any applicable local, state, national, or international law or regulation

PhotoWall reserves the right to remove any content that violates these Terms and to suspend or terminate accounts of users who engage in prohibited conduct, without prior notice.

7. Payments and Billing

Certain features of the Service require payment. All payments are processed securely through a third-party payment processor. By purchasing a paid plan, you agree to pay the applicable fees as described on the Service at the time of purchase.

Refunds are handled on a case-by-case basis at PhotoWall’s sole discretion. To request a refund, please contact us at [email protected].

We reserve the right to change our pricing at any time. Any price changes will be communicated to you in advance and will not affect purchases already completed.

8. Fair Usage Policy

To ensure the quality and reliability of the Service for all users, the following fair usage policies apply:

  • You are responsible for ensuring that all media uploaded to your PhotoWall is lawful, appropriate, and does not infringe any copyright, trademark, or other intellectual property rights. Wall Creators are responsible for all content uploaded to their walls by Guests.
  • PhotoWall is designed exclusively for event-based photo and video sharing. The Service is not intended to be used as a general-purpose cloud storage solution. Any use of the Service for purposes other than event media sharing may result in suspension or removal of your wall.
  • Plans that advertise “Unlimited” uploads are subject to a fair usage cap of 10,000 media uploads and 5,000 unique participants per wall. For the vast majority of events, these limits are more than sufficient. If you anticipate exceeding these limits, please contact us at [email protected] so we can accommodate your event.
  • PhotoWall reserves the right to throttle, suspend, or remove any wall or account that violates this Fair Usage Policy, without prior notice.

9. Termination

PhotoWall may suspend or terminate your access to the Service at its sole discretion, for any reason, without prior notice or liability to you. This includes, but is not limited to, violations of these Terms.

You may stop using the Service at any time. If you wish to delete your account or remove your PhotoWall, please contact us at [email protected].

Upon termination, your right to use the Service ceases immediately. Sections of these Terms that by their nature should survive termination will remain in effect, including but not limited to ownership provisions, disclaimers, indemnification, and limitations of liability.

10. Disclaimers

THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. PHOTOWALL EXPRESSLY DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

PHOTOWALL DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED. PHOTOWALL DOES NOT GUARANTEE THE PRESERVATION OR AVAILABILITY OF ANY USER CONTENT OR DATA STORED THROUGH THE SERVICE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PHOTOWALL AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE.

IN NO EVENT SHALL PHOTOWALL’S TOTAL AGGREGATE LIABILITY EXCEED THE AMOUNT YOU HAVE PAID TO PHOTOWALL IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

12. Indemnification

You agree to indemnify, defend, and hold harmless Slashbox LLC and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Service; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any rights of any third party.

13. Dispute Resolution

a) Informal Resolution

Before initiating any formal dispute proceeding, you agree to first contact us at [email protected] and attempt to resolve the dispute informally for at least thirty (30) days. Most disputes can be resolved without formal proceedings.

b) Binding Arbitration

If we are unable to resolve a dispute informally, any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall be settled by binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall be conducted in the State of California. The arbitrator’s decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

c) Class Action Waiver

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION AGAINST PHOTOWALL.

14. Governing Law

These Terms and your use of the Service shall be governed by and construed in accordance with the laws of the State of California, United States of America, without regard to its conflict of law provisions.

15. Changes to These Terms

We reserve the right to modify these Terms at any time. Any changes will be posted on this page with an updated “Last Updated” date. Your continued use of the Service after the revised Terms are posted constitutes your acceptance of the changes. We recommend that you review this page periodically.
